Thank you for your interest in the Faire Brand No Commission Trial Program (“No Commission Trial Program” or the “Program”). These Faire Brand No Commission Trial Terms (“No Commission Trial Terms” or these “Terms”) are between Faire Wholesale, Inc. (“Faire”) and the entity accepting these Terms (“you”). By participating in the Program, you accept and agree to these Terms in their entirety, and you represent and warrant that the individual who accepts these Terms on your behalf has the power, authority and legal right to do so.
These Terms supplement and are subject to the Faire Terms of Service and the Brand Terms of Service (“Brand Terms”), which are incorporated herein by reference and govern your participation in the Program. Capitalized terms not defined here have the meanings in the Faire Terms of Service or the Brand Terms (as applicable). To the extent of any conflict between these Terms and the Faire Terms of Service or Brand Terms, these Terms will control solely with respect to this Program. All information provided by you in connection with the Program is subject to Faire’s Privacy Policy.
1. Eligibility
1.1 Participation in the No Commission Trial Program is limited to Brands that Faire specifically invites to use Faire services to sell their products where Faire will not charge Commission during a Trial Period (“No Commission Trial”). Faire determines eligibility and may modify its eligibility criteria at any time, each in its sole discretion.
1.2 Each Brand, together with its affiliated or commonly-owned entities and any duplicate accounts, is eligible for a maximum of one No Commission Trial.
2. Commission Waiver
2.1 Trial Period. The “Trial Period” means the period specified by Faire at the time of enrollment. Faire will confirm the applicable dates upon enrollment.
2.2 Commission Waiver. Notwithstanding what is set out in the Brand Terms, Faire will not charge Commission — including any new customer fee — on qualifying orders placed during the Trial Period (“Qualified Trial Orders”). Orders placed outside the Trial Period remain subject to the standard Commissions set out in the Brand Terms. All Qualified Trial Orders are subject to verification by Faire and Faire may audit and/or revoke any prior approval or acceptance of a Qualified Trial Orders as eligible for 0% commission.
2.3 Fees Not Waived. The No Commission Trial waives Commission only. The Payment Processing Fee and all other fees and obligations under the Brand Terms remain in full force and effect, including shipping costs, taxes, product liability insurance, and performance standards.
2.4 Interaction with Faire Direct. An order that qualifies as both a Qualified Trial Order and a Qualified Faire Direct Order under Section 19 of the Brand Terms remains subject to 0% Commission under either provision.
2.5 Expiration of the Trial Period. Upon expiration of the Trial Period, standard Commission terms under Section 9 of the Brand Terms resume automatically, without further action by either party.
3. Modification and Termination
3.1 The No Commission Trial constitutes a promotional incentive for purposes of Section 18 of the Brand Terms. If Brand’s Account is suspended or terminated, Brand’s participation in the No Commission Trial ends immediately.
3.2 Faire may deny, modify, suspend, or discontinue the No Commission Trial, generally or as to any individual Brand, at any time and without prior notice, in its sole discretion, including where Faire suspects fraud, abuse (including any attempt to obtain more than one No Commission Trial), or a violation of the Faire Terms of Service or Brand Terms.
4. General
4.1 These Terms, including the Faire Terms of Service and Brand Terms of Service, constitute the entire and exclusive understanding and agreement between Faire and Brand regarding the Program, and supersede and replace any and all prior oral or written understandings or agreements between you and Faire regarding the Program. Any terms and conditions of any other instrument issued by you in connection with these Terms which are in addition to, inconsistent with or different from the terms and conditions of these Terms shall be of no force or effect.
