NO ENTRY FEE. NO PURCHASE OR OBLIGATION NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED. Any translation from English to another language is provided as a courtesy. Faire makes no representations or warranties with regard to the accuracy of the translation. and, in the case of any discrepancy, the English version of these rules will control.
Each quarterly cycle of the Faire Small Business Grant Program 2025 (the “Contest”) begins on the “Applications Open” dates set forth below, at 12:00 am PDT and ends on the “Applications Close” dates set forth below at 11:59 pm PDT (the period between the Applications Open date and Application Close date, respectively, the “Promotion Period”).

Agreement to Terms and Conditions. By entering or participating in the Contest, you accept and agree to be bound by these “Terms and Conditions” and the Faire Terms of Service, which can be found at https://www.faire.com/tos (the “Faire Terms”). All capitalized terms used but not defined herein shall have the respective meaning given to them in Faire’s Terms. In the event of any conflict between these Terms and Conditions and the Faire Terms, these Terms and Conditions will govern with respect to the disposition of the Contest.

Eligibility. The Contest is open to small businesses located in the United States and Canada (excluding Puerto Rico, other U.S. territories and possessions, overseas military installations, and where prohibited or restricted by law) (“Retailers”), who (i) complete and submit the Faire Small Business Grant Program application form through the Faire Small Business Grant Program page available at faire.com/small-business-grant; and (ii) have opened or have bona fide intentions to open a retail store between January 1, 2024 through June 30, 2026 (each, an “Entrant”). Employees of Sponsor and its affiliates, subsidiaries, advertising, promotion, fulfillment or other coordinating agencies, individuals providing services to Sponsor through an outsourcer or temporary employment agency during the Promotion Period, and their respective immediate family members and persons living in the same household, are also not eligible to participate in the Contest.
ELIGIBLE ENTRANTS MUST ENTER IN ACCORDANCE WITH THESE TERMS AND CONDITIONS. NO OTHER METHOD OF SUBMISSION WILL BE ACCEPTED. Participation in the Contest constitutes your understanding of, full and unconditional agreement to, and acceptance of these Terms and Conditions.

How to Enter. You may enter the Contest (an “Entry”) by doing the following:
(a) Complete and submit the Faire Small Business Grant Program application form through the Faire Small Business Grant Program page available at faire.com/small-business-grant.
(b) Submit a video (recommended length is under 3 minutes) describing your (i) retail store and vision for the retail store, (ii) how your retail store will support your local community, and (iii) how $5,000 in credits that can be used solely on the Faire website or Faire services (“Faire Credits”) may impact your business (a “Video Submission”).
You agree that by participating in the Faire Small Business Grant Program, you are applying for additional net terms financing. Your ability to enter or win the Contest is not dependent on Faire’s approval of your application for additional net terms financing.
(c) Maximum one (1) Entry per Retailer. Each Entrant is only eligible to submit one (1) entry for each Promotion Period. While Faire has run contests substantially similar to this Contest in the past and may run substantially similar contests in the future (this Contest, together with past and future contests substantially similar to this Contest, collectively, “Faire Credit Grant Contests”), a past Winner of any Faire Credit Grant Contest is ineligible to enter any current or future Faire Credit Grant Contest.
(d) Use of any software or other device to automate an Entry or subvert the Entry process is prohibited, and all Entries submitted through such devices are void. Any attempt by any Entrant to obtain more than one Entry per Promotion Period or any other methods will void that Entrant’s Entries and Entrant may be disqualified. Faire reserves sole discretion to disqualify any Entry. Entrants who violate any of these Terms and Conditions or the Faire Terms will be disqualified. Faire’s database clock will be the official timekeeper for the Promotion.
(e) Video Submissions and any accompanying digital images must be in one of the following formats: .mp4, .m4v, .mov, .mkv., flv, .avi, .mxf, .webm., mpg, .mpeg, .ts., vob and must be in a file size not to exceed 500 MB. Video Submissions and any accompanying digital images cannot be adjusted once application is submitted. Video Submissions must be uploaded via the application submittal form. No other method or format to receive the video can be accepted (i.e., cannot be emailed, cannot require a download from a zip file, cannot require accessing Google Docs, etc.). The Video Submission length is a preferred length and applications will not be disqualified for exceeding the preferred length. If the Video Submission and any accompanying digital images contains any material or elements that are not owned by the Retailer and/or are subject to the rights of third parties, and/or if any persons appear in the video or image, the Retailer is responsible for obtaining, prior to submission of the Video Submissions and any accompanying digital images, any and all releases and consents necessary to permit the exhibition and use of the Video Submissions and any accompanying digital images in the manner set forth in these Terms and Conditions. If any person appearing in any Video Submissions and any accompanying digital images is under the age of majority in their state/province/territory of residence the signature of a parent or legal guardian is required on each release.
(f) Additional Entry Requirements: Your Entry must comply with the following requirements: (a) be in English or French; (b) be your original work; (c) must not be misleading or deceptive; (d) must not promote illegal activities of any kind; (e) must not contain confidential information; (f) must not contain material that is, in Faire’s sole discretion, inappropriate, offensive, indecent, obscene, sexually explicit, tortious, defamatory, disparaging, slanderous or libelous; (g) must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age; and; and (h) must not contain material that is unlawful, in violation of, or contrary to any applicable laws, rules, or regulations.

Judging Criteria. Entries that fail to meet the Entry process or otherwise comply with these Terms and Conditions or the Faire Terms will be deemed incomplete or ineligible and, at Faire’s sole discretion, may be disqualified. All eligible Entries will be evaluated and ranked on a per Entry basis by a panel of judges selected by Faire, who will evaluate each Entry based on the following criteria which shall each be given equal weight and are, collectively, the “Judging Criteria”:
(a) Impact. Faire will evaluate the potential impact the Prize may have on the Entrant’s growth and success.
(b) Community Engagement. Faire will consider the Entrant’s level of involvement and engagement with their local community.
(c) Diversity. Faire will assess whether Entrant furthers Faire’s objective granting funds to a diverse group of Retailers (e.g., retail types and backgrounds of business owners).

Winner Selection and Prizes: During the Judging Period, Faire will determine the winner of the Contest (the “Winner”) based on the Judging Criteria. Faire will select five (5) Winners per Promotion Period. Each Winner will receive a $5,000 grant in the form of Faire Credits (the “Prize”), with the approximate retail value (“ARV”) of each Prize being $5,000 (USD). The total ARV of all Prizes in a Promotion Period is $25,000.
(a) The odds of winning a Prize depends upon the total number of Entries and the skill of each Entrant.
(b) Receiving a Prize is contingent upon compliance with these Terms and Conditions. The Winner is subject to verification by Faire. To claim a Prize in this Contest, Entrants may be required to provide additional information for communication by Faire. ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY FAIRE, IN ITS SOLE DISCRETION, WHOSE DECISIONS ARE FINAL AND BINDING. An Entrant is not a Winner of any Prize, even if the notification should so indicate, unless and until an Entrant who is a Winner has been verified and Entrant has been notified that verification is complete.
(c) Winner will be notified by email on the upon the completion of the Judging Period and must sign and return any required (i) affidavit of eligibility and publicity/liability release, (ii) photographs or information as requested by Faire, and (iii) a completed applicable From W-9 or Form W-8BEN/BEN-E as further described in Section 6. If a selected Winner cannot be contacted, is ineligible, fails to claim a Prize and/or an affidavit of eligibility and publicity/liability release is incomplete, modified or is not received within the number of days specified in the notification or thirty (30) days after such notification, whichever comes first (the “Claim Date”), the Prize may be forfeited and an alternate Winner may be selected from remaining valid, eligible Entries timely submitted. In the event of a dispute regarding the identity of any Entrant, the Entry will be deemed submitted by the natural person who is the Authorized Account Holder of the email address specified in the entry. For the purposes of these Terms and Conditions, “Authorized Account Holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.
(d) Once a Winner receives their Prize from Faire, Faire is not responsible for reimbursing such Winner for any theft, destruction, manipulation or loss associated with his or her Prize. The Prize will be delivered to each Winner’s Faire account within thirty (30) days following the Claim Date. The Prize, or any unused portion thereof, will expire upon the earlier of (x) six (6) months following Faire’s delivery of the Prize and (y) closing of the Retailer’s Faire account (for any reason). If Faire, in its sole discretion, believes that Winner has violated these Terms and Conditions or the Faire Terms following the Prize delivery, Faire reserves the right to deem the Winner ineligible and either reclaim the Prize or have Winner return the Prize. A Prize is not redeemable for cash or transferable.

Taxes: If applicable, to the extent redeemed, each Prize will be taxable to a Winner as income. All federal, provincial, territorial, state and local taxes and any other costs and expenses associated with the acceptance and/or use of the Prize not specifically provided for in these Terms and Conditions are solely the Winner’s responsibility. To receive the Prize, Winners residing in the United States are required to furnish Faire with a completed and signed Form W-9 (Request for Taxpayer Identification Number and Certification) and Winners residing in Canada are required to furnish Faire with a completed and signed Substitute Form W-8BEN/BEN-E (Certificate of Status of Beneficial Owner for United States Tax Withholding and Reporting). Winner is solely responsible for reporting and paying any and all applicable taxes. United States residents may have income reported to them on IRS Form 1099 as required under IRS rules and a copy of said form will be sent to the IRS. Please contact your own tax advisor for any questions concerning taxes.

Disclaimers and Limitations on Liability.
(a) Sponsor is not responsible for (i) late, lost, delayed, damaged, incomplete, illegible, garbled, misdirected or undeliverable entries, responses, or other correspondence, whether by email or postal mail or otherwise; (ii) theft, destruction, unauthorized access to or alterations of entry materials; or (iii) phone, electrical, network, computer, hardware, software program or transmission malfunctions, failures or difficulties or any technical hardware or software failures of any kind, which may limit a person’s ability to participate in the Contest.
(b) BY ENTERING THE CONTEST, ENTRANT AGREES THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW: (I) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED IN PARTICIPATING IN THE CONTEST (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (II) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (III) ENTRANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

Indemnification. You agree to release, indemnify, defend and hold Sponsor and its parent, affiliates, subsidiaries, directors, officers, employees, sponsors and agents, including advertising and promotion agencies, and assigns, and any other organizations related to the Contest, harmless, from any and all claims, injuries, damages, expenses or losses to person or property and/or liabilities of any nature that in any way arise from participation in this Contest or acceptance or use of a prize or parts thereof, including, without limitation, (i) any condition caused by events beyond Sponsor’s control that may cause the Contest to be disrupted or corrupted, including unauthorized human intervention; (ii) the prize, or acceptance, possession, or use of the prize, or from participation in the Contest; (iii) any printing or typographical errors in any materials associated with the Contest, (iv) errors in the administration of the Contest or the processing of entries, (v) injury or damage to persons or property (including to any computer systems resulting from participation in or accessing or downloading information in connection with the Contest), which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Contest or receipt or use of any prize, and (vi) technical errors related to the computers, servers, providers, or telephone, or network lines.

Additional Conditions. Sponsor reserves the right, in its sole discretion, to terminate, modify or suspend the Contest in whole or in part, if in Sponsor’s opinion (a) the Contest is not capable of running as planned by reason of the occurrence of any event beyond its control including, but not limited to, fire, flood, epidemic, pandemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications, equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Contest by any party, or any federal, state, local or provincial government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control, or (b) any other factors beyond Sponsor’s reasonable control corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, in all instances without liability to the entrants. Sponsor also reserves the right to disqualify any entrant or winner, as determined by Sponsor, in its sole discretion.

Publicity. Except where prohibited, by participating in the Contest, the Winners consent to the use of their names, photos and/or likenesses, biographical information, Entry and statements attributed to Winners (if true, including the Video Submission and any portion of a Winner’s Entry) for advertising and promotional purposes, including without limitation, inclusion in Sponsor’s newsletters, Sponsor’s official social media accounts and websites, without additional compensation.

Personal Information. Sponsor may collect personal data about entrants online, in accordance with its privacy policies and as may be more specifically set forth in these Terms and Conditions. Winners List. For the names of all Winners, send an email message to grant-info-requests@faire.com with “Winners - Faire Small Business Grant Program” as the email subject and Winners - “Faire Small Business Grant Program” specified in the body of the email. Requests must be received within four (4) weeks of the end of a Promotion Period. The Winners list will be available after all Winners have been verified.
